Terms of Service
By registering for a SoTrusty account (as defined in Section 1) or by using the SoTrusty Services (as defined below), you are agreeing to be bound by the following terms and conditions (the “Terms and Conditions”).
In these Terms and Conditions, “we”, “us” and “SoTrusty” mean the relevant SoTrusty contracting party (as described in Section 4 below).
The services offered by SoTursty under the terms and conditions include various products and services that help you sell goods and services to buyers (“Online Services”). All services offered by SoTrusty are referred to as “Services” in these terms and conditions. Any new features or tools added to the current service are also subject to the terms and conditions. You can view the latest version of the General Terms and Conditions at any time here: https://www.sotrusty.com/agb. SoTrusty reserves the right to update and change the Terms and Conditions by posting updates and changes on the SoTrusty website. We encourage you to check the Terms and Conditions from time to time for updates or changes that may affect you. If you do not agree to such changes, you must stop using the services.
Before you can sign up for a SoTrusty account or use any SoTrusty service, you must read and accept all terms and conditions contained in or expressly set out in these Terms and Conditions, including the Terms of Use (“Terms of Use”) and the Privacy Policy.
General language summaries are for informational purposes only and are not legally binding. They are listed in bold under each section. Please read the terms and conditions, including any documents referenced in these terms and conditions, for a complete picture of your legal obligations. By using SoTrusty or any other SoTrusty service, you agree to be bound by these terms and conditions. Check out updates from time to time.
1. Account Terms
1. In order to access and use the Services, you must register for a SoTrusty account (“Account”) by providing your full legal name, current address, telephone number, valid email address and other than Provide mandatory information. SoTrusty may, at its sole discretion and for any reason, decline your application for an account or terminate an existing account.
2. You must be at least: (i) 18 years of age or (ii) the age of majority in the country in which you reside and from which you are using the Account Opening Services. You certify that you are using the services provided by SoTrusty for business purposes and not for personal, household or family purposes.
3. You acknowledge that SoTrzsty will use the email address you provided when you opened your account or updated at a later date as its primary method of communication.
4. It is your responsibility to keep your password safe. SoTrusty cannot and will not be liable for any loss or damage resulting from the failure to maintain the security of your account and password.
5. You are responsible for all activities and content such as photos, images, videos, graphics, written content, audio files, code, information or data that are uploaded, recorded, generated, stored, displayed, distributed on or in connection with your displayed account , transferred or transmitted (“Materials”).
6. Any breach or breach of any provision of these Terms and Conditions will result in immediate termination of your services at SoTrusty’s sole discretion.

2. Activation of the account
2.1 Business Owner
1. Subject to Section 2.1 (2), the person who registers for the service by opening an account is the contracting party within the meaning of our General Terms and Conditions (“shop operator”) and is the person who is authorized to open the relevant account use that we can make available to the shop operator in connection with the service. You are responsible for ensuring that the name of the shop owner (including the official name of the company that owns the shop, if applicable) is clearly visible on the shop’s website.
2. If you are registering for the Services on behalf of your employer, your employer is the business owner. If you register for the Services on behalf of your employer, you must use the email address provided by your employer and indicate that you have authority to bind your employer to our terms and conditions.
3. Your SoTrusty account can only be assigned to one account holder. A SoTrusty holder can have multiple SoTrusty order pages. “Order Page” means an online order page linked to the Account.
2.2 Employee Accounts
1. Depending on the SoTrusty Plan you are using, you may have one or more employee accounts (“Employee Accounts”) set up to give other people access to the account. For employee accounts, the account holder can set permissions and allow other people to work on their account and at the same time set the access level for employee accounts to certain business information (for example, you can restrict access for employee accounts to orders and revenue information on the report page, or remove employee accounts and prevent employees Make changes to general account settings).
2. The business owner shall be responsible and liable for the acts, omissions and omissions arising out of the use of employee accounts to fulfill the obligations of these terms and conditions as if they were his own acts, omissions or neglect.
3. The business owner and the users of the employee accounts are all referred to as “SoTrusty Users”.
2.3 SoTrusty Payments
Upon completion of registration for the Service, SoTrusty will set up a SoTrusty payment account on your behalf using your email address, which depends on your location.
You acknowledge that SoTrusty Payments is your default payment gateway (s) and that it is the sole responsibility of the account holder to activate and maintain these accounts.
2.4 Apple Pay Account for Safari
1. Apple Pay is a third-party service and is supported by SoTrusty Payments.
If you use SoTrusty Payments and your customers have Apple Pay enabled on their device, customers can use Apple Pay to purchase goods and services on your order pages.
2. By using Apple Pay on your order pages, you agree to abide by the terms of the Apple Pay platform for online merchants, which Apple may change from time to time. If Apple changes the Apple Pay platform conditions for online merchants, the changed and adapted conditions will be published here: https://stripe.com/apple-pay/legal. Such changes to the Apple Pay Platform Terms for Online Merchants will take effect on the date of publication. If you continue to use Apple Pay in your shop after the amended Apple Pay Platform Terms for Online Merchants have been published, you agree to and accept the amended Apple Pay Platform Terms for Online Merchants.
2.5 Google Payment
1, Google Payment is a third party service and is supported by SoTrusty Payments. If you’re using SoTrusty Payments and your customers have Google Payment enabled on their device, customers can use Google Payment to buy goods and services from your store.
2. By using Google Payment in your shop, you agree to the Google Payments API Terms of Service, which Google may change from time to time. If Google changes the terms of use for the Google Payments API, the changed and adapted version will be published here: https://payments.developers.google.com/terms/sellertos. Such changes to the Google Payments API Terms of Service will be effective on the date posted. If you continue to use Google Payments in your shop after the changed Google Payments API Terms of Use have been published, you are agreeing to and accept the changed Google Payments API Terms of Use.
3. General Conditions
Before you can join SoTrusty, you must read and accept all of the terms and conditions contained in these Terms of Use, including the Terms of Use and the Privacy Policy.
1. Technical support for the Services is only available to SoTrusty users.
2. These terms of use are subject to the applicable law of the Federal Republic of Germany and are interpreted accordingly without regard to the principles of conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these General Terms and Conditions and is expressly excluded.
3. You acknowledge and agree that SoTrusty may change these terms and conditions at any time by posting the amended and adapted terms and conditions on the SoTrusty website at https://www.sotrusty.com/agb, and that such changes to the Terms and Conditions will take effect on the date of publication. If you continue to use the Services after the amended Terms and Conditions have been posted on the SoTrusty website, you will be deemed to have accepted and accepted the amended Terms and Conditions. 4. You may not use the SoTrusty Services for any illegal or unauthorized purpose, nor may you violate any laws in your country (including, but not limited to, copyright laws), the laws that apply to you in your customer’s country, or the laws of the Federal Republic of Germany Violate Germany. 8. You acknowledge that your materials (with the exception of credit card information or personal information) may be transmitted unencrypted and may include (a) transmissions over various networks and (b) changes to meet and adapt to the technical requirements of connected networks or devices. Credit card information and personal data are always encrypted when transmitted over networks.
9. The services enable you to send certain messages to your customers via SMS (eg sending order confirmations via SMS) (the “SMS services”). You will only use the SMS services in accordance with these Terms and Conditions, the Twilio Inc. Acceptable Use Policy available at https://www.twilio.com/legal/aup, and the laws of the country from which you are Send messages and where your messages will be received.
10. You acknowledge and agree that your use of the Service, including information sent to SOtrusty or stored by SoTrusty, is subject to SoTrusty’s privacy policy, which is available at https://www.sotrusty.com/privacy-policy .
11. The general terms and conditions can be written in languages other than English. In the event of any discrepancy or inconsistency between the English Terms and Conditions and SoTrusty’s Terms and Conditions in any other language, the latest English version of the Terms and Conditions at https://www.sotrusty.com/agb shall prevail.
13. All provisions of the General Terms and Conditions are binding for the contracting parties to these General Terms and Conditions as well as for their respective heirs, legal successors, authorized representatives and legal representatives. SoTrusty may assign these terms and conditions without prior notice and without your consent. You may not assign or otherwise assign these Terms and Conditions or your rights and obligations under these Terms and Conditions to any third party without SoTrusty’s prior written consent, which may or may not be granted in SoTrusty’s sole discretion.
14. If any provision or part of the provision in these Terms and Conditions is held to be invalid, unlawful or unenforceable for any reason, such invalidity, illegality or unenforceability will not affect the other provisions (or the unaffected part of the provision) of the general terms and conditions. The Terms and Conditions will be construed as if any such invalid, illegal, or unenforceable provision, or any part of the provision, had never been part of the Terms and Conditions.
15. Sections 1, 3 (2) - (5), 4, 6-8, 14-15, 17 (9) - (11), 19, 21 and 22 remain valid even after these General Terms and Conditions have ended or expired.
4. SoTrusty Contracting Party
1. If your account’s billing address is in the EMEA region, including Europe and Russia, the Middle East, Africa, South America, the Caribbean, or Mexico, this section applies to you:
a. “SoTrusty contract partner” means LionMint GmbH, a company registered in the Federal Republic of Germany with the registration number HRB 108121 and the registered office at c / o WeWork, Taunusanlage 8, 60329, Frankfurt am Main, Germany, with the sales tax identification number DE311676672 and the website https : //www.sotrusty.com/.
b. You irrevocably and unconditionally agree to submit to the jurisdiction of the courts of the Federal Republic of Germany, which are responsible for the settlement of disputes arising from or in connection with the validity, effect, interpretation or fulfillment of these General Terms and Conditions, and you irrevocably waive and unconditionally to any objection to any claim SoTrusty has initiated in a lawsuit, lawsuit, or proceeding in any other jurisdiction. In the event of a dispute, you can take legal action in the Federal Republic of Germany, Frankfurt am Main Local Court.
5. SoTrusty Rights
1. We reserve the right to change or terminate the Services at any time for any reason and without notice. Not all services and functions are available in all countries, and we are under no obligation to make services or functions available in all countries.
2. We reserve the right to refuse service to any person at any time for any reason.
3. We are entitled, but not obliged, to remove materials and suspend or terminate accounts if, in our sole discretion, we determine that the goods or services offered in a shop or the materials uploaded or published in a shop violate our Terms of Use or violate these terms and conditions.
4. Oral or written abuse of any kind (including threats of abuse or retaliation) by SoTrusty customers, employees, members or officers will result in the immediate termination of the account.
5. SoTrusty does not pre-screen materials and it is in our sole discretion to reject or remove materials from the Service, including your account.
6. We reserve the right to make our services available to your competitors and do not promise exclusivity in any particular market segment. You further acknowledge and agree that SoTrusty employees and contractors may also be SoTrusty customers / dealers and that they may compete with you without using your confidential information (as defined in Section 6).
7. In the event of a legal dispute over account ownership, we reserve the right to request documents to establish or confirm account ownership. These documents include a scanned copy of your trade license, an official photo ID, the last four digits of the credit card on file, your status as an employee of a company, etc.
8. SoTrusty reserves the right to determine the legal ownership of the account at its sole discretion and to transfer an account to the rightful business owner. If, without prejudice to our other rights and remedies, we are unable to determine the rightful account holder,
9. SoTrusty reserves the right to temporarily deactivate an account until the disputing parties have found a solution.
MEANING
We can change, cancel or decline the service at any time.
In the event of a dispute over ownership of a SoTrusty account, we may freeze the account or transfer it to the rightful owner we have identified.
6. Confidentiality
1. “Confidential Information” includes, but is not limited to, any information relating to a party’s business that is not publicly known, including specific business information, technical processes and formulas, software, customer lists, lists of potential customers, names, addresses and other information about Customers and prospects, product designs, sales, costs (including all relevant processing fees), price lists and other unpublished financial information, business plans and marketing data, and other confidential and proprietary information, whether or not marked as confidential or proprietary. Confidential information includes any information you receive in connection with us and the services that the public is not aware of, including information about our security program and our security practices.
2. Each party undertakes to use the other party’s Confidential Information only to the extent necessary to fulfill its obligations under these Terms and Conditions and in accordance with all other obligations in these Terms and Conditions, including this Section 6. Each party agrees to take all reasonable steps, at least substantially equivalent to steps taken to protect its own proprietary information, to prevent the reproduction, disclosure or use of such confidential information, except (i) by its employees, Agents and or subcontractors who must have access to such Confidential Information in order to comply with that party’s obligations under this Agreement, to treat such Confidential Information as described herein, and to keep that Party’s confidentiality obligations at least as strict as contained herein ; or (ii) as required by any statute, ordinance or ordinance to which the parties and the subject matter of these Terms and Conditions are subject to the ordinary jurisdiction of which the receiving party, to the extent permitted by law, immediately notifies the disclosing party in writing and uses commercially reasonable efforts to ensure that this disclosure is kept confidential. Confidential information must not contain any information that the receiving party can prove: (A) at the time this information was disclosed, it was already publicly known or was already known to the receiving party or was in its possession; (B) be discovered independently of the receiving party without using or referring to the other party’s confidential information and without violating any provision of these Terms and Conditions; or (C) thereafter lawfully obtained from the receiving party from a source other than the disclosing party without violating any provision of these Terms and Conditions.

Both you and SoTrusty agree to use the other party’s confidential information only for the purpose of fulfilling its obligations under these Terms and Conditions. Confidential information must be protected and respected.
7. Limitation of Liability
1. You expressly acknowledge and expressly agree that SoTrusty will not, to the extent permitted by law, be responsible for direct, indirect, incidental, special, consequential or exemplary damage, including lost profit, goodwill, inability to use, loss of data or other immaterial damage, resulting from the use or the inability to use the service can be held liable.
2. To the fullest extent permitted by law, SoTrusty or our suppliers shall under no circumstances be liable for any loss of profits or any special, incidental or consequential damages arising out of or in connection with our website, our services or these Terms and Conditions (regardless of origin, including negligence). You agree to indemnify us and (as applicable) our parent company, subsidiaries, affiliates, SoTrusty partners, officers, officers, agents, employees and suppliers with respect to any claim or demand (including reasonable legal fees) and indemnify and hold harmless from any third party as a result of your breach of these Terms and Conditions or the documents contained therein (including the Terms of Use) by reference or your violation of any law or the rights of third parties or in connection therewith.
3. You use the services at your own risk. The Services are provided “as is” and “as available” without any warranty or guarantee, express, implied, or statutory.
4. SoTrusty does not guarantee that the services will be uninterrupted, punctual, secure or error-free.
5. 5. SoTrusty does not guarantee that the results that may be obtained by using the Services will be correct or reliable.
6. 6. SoTrusty does not warrant that the quality of any product, service, information, or other material acquired or acquired through the Services will be as expected or that errors in the Services will be corrected.

We are not responsible if you break the law, breach this Agreement, or infringe the rights of any third party, especially if you are sued.
The service is “as it is”. That is, it may contain errors or interruptions, and we make no guarantees and our liability is limited.
8. Waiver, Severability Clause and Complete Agreement
1. SoTrusty’s failure to enforce or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of that right or provision. 9. Customer Intellectual Property and Content
1. We do not claim any intellectual property rights in the materials you provide to the SoTrusty service. All materials you upload remain your property. You can delete your SoTrusty account at any time by deleting it.
2. By uploading materials, you agree: (a) that other Internet users may view and access the materials you have posted in your account; (b) SoTrusty may save your materials and, if you have posted materials publicly, display and use them; and (c) that SoTrusty may review and delete the materials submitted to its service at any time, although SoTrusty is under no obligation to do so.
3. You remain the owner of all materials that you upload to your account; however, by posting your material, you consent to other people viewing and viewing the material you have publicly posted on your account. It is your responsibility to ensure that the materials comply with any applicable law or regulation.
4. SoTrusty has the non-exclusive right and license to use the names, trademarks, service marks, and logos associated with your account to promote the service.
MEANING
Everything you upload remains your property and is your responsibility.
10. Payment of Fees
1. You pay the fees associated with your subscription to the Online Service (“Subscription Fees”) and all other applicable fees, including fees related to the value of sales generated through your account, when using payment providers other than SoTrusty Use Payments (“Transaction Fees”) and fees related to your purchase or use of products or services such as such third party applications or services (“Additional Fees”). The Subscription Fees, Transaction Fees and Additional Fees are collectively referred to as the “Fees”.
2. You must have a valid credit card on file with us in order to pay all applicable and recurring fees. SoTrusty will debit your authorized credit card account (“Authorized Card”) for applicable fees and will continue to charge applicable fees to the Authorized Card (or a replacement card) until the Services are terminated and all outstanding fees are paid in full. Unless otherwise specified, all fees and other charges are in euros and all payments are made in euros.
3. Subscription fees are prepaid and billed every 30 days (each of these dates is a “Billing Date”). Transaction fees and additional fees may be charged from time to time at SpTrusty’s discretion. On each billing date, you will be billed for all outstanding fees that have not yet been billed. The fees are listed on an invoice that is sent to the account holder via the email address provided. The invoice will also appear on the Invoicing page in your account dashboard. Users have approximately two weeks to resolve subscription fee billing issues.
4. If we cannot process the fee payment using an authorized payment method, we will try again three days later to process the payment using any authorized payment method. If the second attempt fails, we will make a final attempt three days after the second attempt. If our last attempt is unsuccessful, we can block and revoke access to your account and the services. Your account will be reactivated once you have paid the outstanding charges plus the charges for the next billing cycle. You will not be able to access your account or storage during the suspension period. If the outstanding fees have not been paid within 60 days of the suspension date, SoTrusty reserves the right to terminate your account.
5. All fees are exclusive of any applicable national, state, local or other state sales, goods and service taxes, harmonized or other taxes, fees or charges that are currently in effect or may be charged in the future (“Taxes”) .
6. You are responsible for all applicable taxes arising out of or arising out of your subscription or purchase of SoTrusty products and services. To the extent that SoTrusty charges such taxes, they will be calculated using the tax rates based on the billing address you provide. These amounts are added to the fees for the related products and services and will be billed through your authorized payment method. If you are exempt from paying these taxes, you will need to provide us with proof of this exemption. In some countries, this is an original certificate that meets the applicable legal requirements for proof of tax exemption. The tax exemption will only apply from the date we receive proof of the tax exemption that is sufficient for SoTrusty. If SoTrusty does not collect taxes from you, it is your responsibility to determine if you need to pay any tax and, if so, to report that tax to the appropriate tax authority in your country.
6. For the avoidance of misunderstandings, all amounts that you are required to pay to SoTrusty under these terms and conditions are payable without any deductions or withholdings. With the exception of taxes that SoTrusty bills you and transfers to the relevant tax authorities on your behalf, you must bear all statutory deductions or withholding and pay them separately to the relevant tax authority. SoTrusty is entitled to bill you for the full amount of the fees set out in these Terms and Conditions through your authorized payment method, with no such deductions or withholdings.
7. You must enter your correct location in the Settings menu of your SoTrusty account. If you move to another country, you must immediately change your location in the Settings menu.
8. SoTrusty does not offer refunds.
MEANING
A valid payment method (such as a credit card) is required for all transactions. You will be billed for subscription fees every 30 days. Any transaction fees or additional fees will be charged to your payment method. If we cannot process the payment of the fees through your payment method, we will try again three days later. If we can’t process the payment on the second try, we’ll do it a third time three days later. If after three attempts the payment of the fees is not successful, SoTrusty may freeze your shop. You may need to pay taxes to SoTrusty or your local tax authority. No refunds.
11. Cancellation and termination
1. You can cancel your account and end the terms and conditions at any time by contacting SoTrusty Support and then following the instructions in SoTrusty’s response.
2. If either party terminates the Services for any reason:
1. 1. SoTrusty no longer provides the services to you and you can no longer access your account;
2. Unless otherwise stated in the Terms and Conditions, you are not entitled to any refund of fees, whether proportionate or otherwise;
3. Any outstanding amounts owed to SoTrusty for your use of the Services up to the effective date of this termination will be immediately payable in full; and
4. Your SoTrusty order pages will go offline.
3. If you owe SoTrusty any outstanding fees at the time of termination, you will receive a final invoice by email. As soon as this invoice has been paid in full, you will no longer receive any further invoices.
4. We reserve the right to change or terminate the SoTrusty Service, Terms and Conditions, and / or your account at any time and without notice for any reason (unless otherwise required by applicable law). Termination of the terms and conditions does not affect rights and obligations that arose before the date of termination.
7. Fraud: Without limiting other legal remedies, SoTrusty may suspend or terminate your account if we suspect that you may have engaged in fraudulent activity (through conviction, liquidation, insurance or fiduciary investigation, or otherwise) in connection with your use of the Services.
MEANING
To initiate a cancellation, send an email to hello@sotrusty.com. In response, SoTrusty will provide you with certain information about the cancellation process for your account. Once the cancellation is confirmed, SoTrusty will no longer automatically renew subscriptions. If you cancel in the middle of the billing cycle, you will receive a final invoice by email.
We can change or close your account at any time. In the event of fraud, we will suspend or close your account.
12. Changes in services and prices
1. The prices for the use of the services can be changed by SoTrusty with a notice period of 30 days. Such notification may be made at any time by posting the changes on the SoTrusty website (sotrusty.com) or in the Settings menu of your SoTrusty account with an announcement.
2. SoTrusty reserves the right to change or discontinue the Services (or any part thereof) at any time and from time to time with or without notice (unless otherwise required by applicable law).
3. 3. SoTrusty is not liable to you or any third party for changes, price changes, blocking or discontinuation of the service

13. Feedback and ratings
1. SoTrusty welcomes suggestions and / or suggestions for improvements or additions to our services. Under no circumstances will communications of suggestion, suggestion, or related materials, or reviews of the services, third party services, or third party vendors (collectively, “Feedback”) to SoTrusty be confidential or associated with expected compensation. By submitting feedback to SoTrusty (whether sent directly to SoTrusty, the SoTrusty website, or posted on a SoTrusty-hosted page) you waive any rights to the feedback and acknowledge that SoTrusty is free to implement and use the feedback as requested by you or as modified by SoTrusty without obtaining approval or license from you or a third party. Reviews of third party services or providers that you submit to SoTrusty must be accurate to the best of your knowledge and belief and must not be unlawful, obscene, threatening, defamatory, invasive of privacy, infringing intellectual property rights, or otherwise unlawful or inappropriate.
2. SoTrusty reserves the right (but not the obligation) to remove or edit feedback on third party services or third party providers, but does not regularly review the feedback posted.
14. Third Party Rights
With the exception of SoTrusty and its affiliates, SoTrusty users or persons who access the SoTrusty services under these General Terms and Conditions, no natural or legal person who is not a party to these General Terms and Conditions has the right to use any provision of these General Terms and Conditions Enforce terms and conditions regardless of whether that individual or legal person has been identified by name, as a member of a class or as a person corresponding to a specific description. 5. Privacy
